1. Services
CyForti Technology provides software development, AI solutions, cybersecurity consulting, cloud architecture, and related technology services as agreed in individual project contracts or service agreements.
2. Client Obligations
Clients agree to provide accurate project information, timely feedback and approvals, necessary access and credentials, and payment according to agreed terms. Delays caused by client inaction may result in timeline adjustments.
3. Intellectual Property
Upon full payment, clients own all custom-developed code, designs, and deliverables created specifically for their project. CyForti retains ownership of pre-existing frameworks, tools, and methodologies used in delivery.
4. Confidentiality
Both parties agree to maintain strict confidentiality regarding project details, business information, and technical specifications. CyForti signs NDAs upon request before any project discussion.
5. Payment Terms
Payments are due per the schedule specified in project contracts. Late payments incur a 1.5% monthly fee. CyForti reserves the right to pause work on accounts with outstanding balances over 30 days.
6. Warranties and Disclaimers
CyForti warrants that services will be performed with reasonable skill and care. Deliverables include a warranty period (typically 90 days) for defect correction. Services are otherwise provided "as is."
7. Limitation of Liability
CyForti's total liability shall not exceed the amount paid by the client in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
8. Governing Law
These terms are governed by applicable law. Disputes will be resolved through good-faith negotiation first, followed by binding arbitration if necessary.
